Public offer and terms of use

1. Parties and general provisions

This public offer (the “Offer”) sets out the terms for providing services and selling goods between Ilia Laptev, an individual entrepreneur registered in Georgia (identification number: 322764898; registered address: Georgia, Adigeni district, v. Varkhani; the “Vitrina”, “we”), and the individual placing an order (the “Buyer”, “you”).

The Offer is public within the meaning of the Civil Code of Georgia. Placing an order (acceptance) concludes a contract on the terms of the Offer and constitutes full agreement with them.

The website and service are available in Russian, English and Georgian. In case of a discrepancy between language versions, the Georgian version prevails.

2. Definitions

• “Ready lot” — goods in stock sold by Vitrina in its own name.
• “Buy-out request” — the Buyer’s instruction to purchase goods on their behalf from a foreign seller.
• “Service fee” — Vitrina’s remuneration for the buy-out and order-handling service.
• “Order” — a placed and confirmed request to buy a ready lot or to buy out goods.
• “Website” — the Vitrina website and its related order pages.

3. Subject of the contract

Vitrina provides two types of service:

• Sale of ready lots — Vitrina sells in-stock goods in its own name and on its own account. This is a contract of sale in which Vitrina is the seller.
• Buy-out on request — at the Buyer’s request and for a fee, Vitrina purchases the chosen goods from a foreign seller in the Buyer’s interest and arranges delivery. This is an intermediary service; the goods are purchased specifically for the Buyer, and title to them vests in the Buyer.

The distinction between the two services matters: it affects price, liability and the right of withdrawal (see “Returns and exchange”). Goods bought out on request are purchased specifically for you.

4. Placing an order and price

Prices for ready lots are shown on the Website in Georgian lari (GEL). For buy-out requests, the manager calculates the total cost (the seller’s price + service fee + delivery and applicable charges) and sends you a quote.

The contract is concluded once you have confirmed the order (or accepted the quote) and paid in the agreed manner. Before payment, Vitrina may verify availability, price and timelines.

Vitrina may refuse or cancel an order and refund any amount received if the goods are unavailable, the price has changed, or the order conflicts with the law or this Offer.

5. Payment

Available payment methods:

• bank transfer (subject to verification of the payment confirmation);
• USDT cryptocurrency;
• cash — only for delivery within Batumi;
• online payment via Keepz.

A payment-provider fee may apply to certain methods. Its amount is shown before you confirm payment and is borne by the buyer.

For bank transfer or cryptocurrency, the order moves to “paid” after the received confirmation is verified. All settlements are in GEL; for payment in another currency or in cryptocurrency, the rate at the time of settlement applies.

6. Delivery

Delivery is made within Georgia. Timelines, rates and available collection methods are described on the “Delivery and payment” page and agreed when the order is placed.

The risk of accidental loss of or damage to the goods passes to the Buyer when the goods are handed over to the Buyer or to a recipient designated by them.

7. Customs and import (for buy-out on request)

When goods are bought out from abroad, their import into Georgia may be subject to customs duties, taxes and charges under Georgian law.

Customs clearance and the related charges are arranged and borne by Vitrina; they are included in the final order cost agreed with the Buyer.

8. Rights and obligations of the parties

• The Buyer must provide accurate order, payment and delivery details and pay on time.
• The Buyer is responsible for the accuracy of the link, description and characteristics of the goods in a buy-out request.
• Vitrina undertakes to provide the service in good faith, inform the Buyer of the material terms of the order, and keep data confidential under the Privacy Policy.
• Vitrina may engage third parties (sellers, carriers, payment services) to fulfil the order.

9. Withdrawal, returns and exchange

The terms for withdrawal, returns and exchange are set out in the “Returns and exchange” document and form part of this Offer. Consumer rights under the Law of Georgia on the Protection of Consumer Rights remain fully reserved.

10. Liability

For ready lots, Vitrina is liable as the seller within the limits set by law. For buy-out on request, Vitrina is liable for the proper provision of the intermediary service; liability for the properties of the goods themselves, as set by the foreign seller, is limited to the extent permitted by law.

Vitrina is not liable for delays or losses caused by force majeure or by acts of customs authorities, carriers or payment providers beyond Vitrina’s reasonable control.

11. Personal data

Personal data is processed in accordance with the Privacy Policy and the Law of Georgia on Personal Data Protection.

12. Term and changes

The Offer is effective from the date of its publication until withdrawn. Vitrina may amend the Offer; a new version takes effect upon publication on the Website. An order already placed is governed by the version in force at the time it was placed.

13. Dispute resolution and governing law

The Offer is governed by the law of Georgia. The parties seek to resolve disputes through negotiation; claims are sent to a1tochka322@gmail.com. Failing agreement, the dispute is heard by the competent court in Batumi, Georgia. Consumers retain the right to apply to the competent consumer-protection authorities.
